Following on from an earlier Scottish Law Commission paper (Discussion paper 121, ISBN 0108880885) published in October 2002, this paper makes recommendations for the reform of the current scheme for the registration and priority of rights in security granted by companies registered in Scotland or where the security is granted under Scots law for companies registered elsewhere. This review is part of a wider review of UK company law being undertaken by the DTI. The report is divided into seven sections which deal with a range of topics including: a summary of the current law; floating charges and other securities; the company's own register and annual reporting requirements; international private law; and legislative competence.
